Hired by the Chair of the Board to provide representation specific to the Board while other counsel provided general representation. Attended board meetings for more than eight years, which added a layer of oversight and made it easier for the board to recruit new independent board members because they knew someone was looking at issues solely from their perspective.
Invited by the lead independent director, with whom had worked on a previous sale of a public company, to represent the independent directors of a different company. Once involved, found inadvertent process and disclosure issues that, if uncorrected, could have made the sale subject to significant challenge. Working with the company’s inside and outside counsel, the team resolved all issues and eliminated any opportunity for a successful challenge—a clear win for management, the directors and the buyer.
Called in by special committees of companies where there were questions about stock option grants. Investigated potential allegations to provide an independent view, but worked constructively with inside and outside counsel to achieve resolution satisfactory to all parties involved.
