PRIVACY AND COOKIES

Kit Kaufman, Counsel to Independent Directors (“KK”) respects your privacy and is committed to collecting, maintaining and using personal information about you responsibly. This Privacy Policy (the “Policy”) applies to all of your use of www.kitkaufman.com (the “Site”) including services offered through the Site. To the extent that any of those services includes specific privacy policies or terms and conditions, they will take precedence over this Policy. This Policy describes how your personal information will be treated as you use the Site and services. This Policy does not apply to information provided to us in the course of any attorney-client relationship or which is protected by confidentiality, the attorney-client privilege, the attorney work product doctrine or any other applicable protection. Nothing in this Policy should be construed to create an attorney-client relationship with visitors to the Site or conversely to detract from any of the protections resulting from such relationships.
1. Information We Collect From You When You Visit the Site
In general, you may visit the Site without telling us who you are or revealing any personal information about yourself except as set forth in this section. Like many websites, our server logs may capture information regarding your operating system, browser software, IP (Internet Protocol), address and the full Uniform Resource Locator (URL) clickstream to, through and from our website, including date and time. We may use this information to improve the services we provide through the Site, to monitor and improve the performance of our services, to administer the Site and to protect and defend our rights, property or safety or that of our clients and other users of the Site. If you view a program on the Site, the fact that you watched the program and when you watched the program may be logged. We log this information to determine which videos our clients consider useful.
Like many websites, we may use cookies on the Site. Cookies are text files containing small amounts of information that can be downloaded to your device when you visit a website. We may use cookies on the Site for a variety of purposes:
- Cookies which are essential in order to enable you to move around the Site and use its features, such as accessing any secure areas of the Site.

2. Information You Submit to Us Via the Site
If you join one or more of our mailing lists or otherwise choose to provide personal information to us through the Site, we will use that information for the purpose for which it was collected. For example:

- Requesting a publication
- Signing up to a mailing list
- Asking to be contacted by KK
Your information may be accessed by third party service providers who will process that information solely for our benefit and in accordance with our instructions – see Section 5 below for more information. However, we will not provide your personal information to, or share it with, any third party's own marketing purposes except in connection with requests you make that clearly involve third parties such as publications produced by third parties or events that are presented or sponsored by third parties. This will always be made clear to you before you sign up for the publication or event.
3. Legal Basis for Processing Your Personal Information
The majority of the personal information collected by KK is provided by you voluntarily on the Site, e.g., when you sign up to join a mailing list or register for an event, and is therefore collected with your permission. The remaining personal information is collected for KK’s legitimate business purposes e.g. to monitor and improve the quality of the Site and our services and to protect and defend our rights, property or safety or that of our clients and other users of the Site.
4. Links
Links to web sites that are not operated by or for KK (“Third Party Sites”) may be provided solely as a convenience to you. If you use those links, you will leave the Site. This Privacy Policy does not apply to Third Party Sites. We have not reviewed the Third Party Sites, do not control and are not responsible for any of their content or their privacy policies, if any. We do not endorse or make any representations about them, or any information, software or other products or materials found there, or any results that may be obtained from using them. If you decide to access any of the Third Party Sites listed on, or linked to, from the Site, you should understand that you do so at your own risk.
5. Sharing of Information
KK may disclose and/or transfer your personal information (i) to its trusted third party service providers (for example companies that provide systems web housing including microsites of the Site and IT services, internal and external auditors); (ii) if required by applicable law; (iii) if KK believes that such disclosure is necessary to enforce or apply its terms of use and other agreements or otherwise to protect and defend KK’s rights, property or safety or that of our clients and other users of the Site; (iv) in order to comply with a judicial proceeding, court order or other legal obligation or a regulatory or government inquiry or (v) with your consent.
KK will not sell or release your personal data to third parties or allow them to direct market their products and services to you, except with your agreement as described in Section 2 above.
6. Agreement; Changes
By submitting your personal information on the Site, you agree to the collection and use of your personal information on the basis described above. If you do not agree, please do not provide any personal information via the Site. If we decide to update our Privacy Policy, we will indicate this next to the Privacy Policy link on the front page of the Site.
